Terms of service

The short version.
- Stockkeep keeps your inventory costing arithmetic. It is a tool, not your accountant.
- Check the figures before you rely on them for a filing. They are yours, and so is that call.
- If we cost you money, what you can recover is capped at what you paid us in the year before.
Who you are contracting with
Stockkeep is operated by Jaroslav Bílek, a sole trader (osoba samostatně výdělečně činná) registered in the Czech Republic, trading as Stockroom Labs.

“We” and “us” mean that person. “You” means the business that installs the app on its Shopify store. Installing the app forms a contract between us on these terms. You are contracting as an entrepreneur (podnikatel) in the course of your business, not as a consumer, so consumer-protection rules do not apply to it.
What the app does
Stockkeep records what your stock cost. It spreads freight, duty and handling across a purchase order, re-averages the result into the unit cost held against each variant, writes that figure back to your store, keeps a record of every change, counts a location against on-hand quantity, prints barcode labels, and takes one inventory-value snapshot per location per day.
What it does not do
These are stated here so you do not discover them later. Stockkeep does no demand forecasting and suggests no reorders. It keeps no FIFO or LIFO cost layers and produces no tax-grade valuation, so if your accountant needs cost layers for a filing, this is the wrong tool. It does not transfer stock between locations and it integrates with no accounting system.
Nothing the app produces is accounting, tax or legal advice.
Your side of it
- You keep a Shopify store in good standing. If Shopify suspends or closes it, the app stops with it.
- You enter accurate purchase orders, costs, freight and counts. The arithmetic is only as good as what goes in, and we cannot tell a mistyped unit cost from a real one.
- You check the figures before relying on them for accounts, a stock valuation, a tax filing or a decision about what to charge. Inventory value is your statutory responsibility, not ours.
- You keep your own records. The app is not a backup of your business.
- You do not attempt to reach another shop’s data, disassemble the service, or resell access to it.
Price and cancellation
Stockkeep is free. There is no subscription and no trial period, and we take no payment from you for it. We may release a paid product in future; if we do, it will be a separate offering, and the features described here stay free for any store that installed before that date. We will tell you by email before any change to this takes effect, and you can uninstall instead. Uninstall the app and your access ends with it.
Availability
We give no uptime guarantee. The app runs on a single server and there will be maintenance, and occasionally faults. We will fix things as fast as one person reasonably can. Nothing in these terms is a service level agreement.
No warranty
The app is provided as it is. So far as the law allows, we give no warranty that it will be uninterrupted, error-free, or fit for any particular purpose, and no warranty that its output is suitable for statutory accounts or a tax filing. The costing method you select is a business decision you make, not one we make for you.
Limit of our liability
So far as the law allows:
- We are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of goodwill, or the cost of a mis-stated inventory valuation, however caused.
- Our total liability to you for everything arising out of or connected with the app, in aggregate, is capped at the total fees you actually paid us in the 12 months before the event giving rise to the claim. The app is free, so for as long as you have paid us nothing, that cap is zero.
None of the above limits liability that cannot lawfully be limited. In particular, under section 2898 of the Czech Civil Code we do not exclude or limit liability for harm caused intentionally or by gross negligence, or for harm to a person’s natural rights, and nothing here affects your rights under the GDPR.
Your data
What the app reads, what it stores, where it is stored and what happens when you uninstall are set out in the privacy policy, which forms part of these terms and includes the data processing terms required by Article 28 of the GDPR. Your store’s data stays yours. We claim no ownership of it and do not use it to train any model.
Ending it
You can uninstall at any time, from your Shopify admin, without telling us why. We may suspend or end your access if you do not pay, if you use the app to reach data that is not yours, or if we stop offering the app — in which case we will give you at least 30 days’ notice by email so you can export what you need. Deletion after that follows the privacy policy.
Changes to these terms
If these terms change, the date at the top changes with them, and material changes affecting installed shops are sent by email to the address on the install before they take effect. Carrying on using the app after that is acceptance. If you do not accept, uninstall.
Law and courts
These terms are governed by the law of the Czech Republic, and the courts of the Czech Republic have exclusive jurisdiction over any dispute arising from them. Before going to court, write to support@stockkeep.app — most things are a misunderstanding about a number, and those are quicker to fix than to litigate.
